Course Overview

The course opens with the strategic rationale for M&A and the overall deal process before moving into core valuation methodologies. Participants then work through deal structuring, due diligence and negotiation of key terms, followed by competition and regulatory approval considerations. The course closes with post-merger integration planning, the stage at which most transactions ultimately succeed or fail to create value.

Introduction

The Mergers and Acquisitions Training Course is a five-day programme that builds practical, endto-end deal skills for corporate finance, investment banking and private equity professionals. Mergers and acquisitions remain one of the fastest ways for African businesses and investors to scale, enter new markets or exit investments, yet many transactions fail to deliver their expected value. Participants leave able to value a target company, structure and negotiate a deal, conduct due diligence and design the post-merger integration plan that ultimately determines whether a transaction succeeds.

Private equity exits, corporate consolidation and cross-border expansion are all driving increased M&A activity across African markets, yet many transactions still stall or destroy value due to weak valuation discipline, poor due diligence or under-planned integration. Professionals who can execute a deal end to end, not just structure the initial terms, are increasingly valuable to both corporates and advisory firms.

Learning Objectives

By the end of this course, participants will be able to:

  • Explain the strategic rationale and key drivers behind mergers and acquisitions.
  • Apply core business valuation methodologies, including discounted cash flow (DCF) and comparable company analysis.
  • Structure M&A transactions, including consideration options and financing arrangements.
  • Conduct comprehensive financial, legal, and commercial due diligence.
  • Negotiate key commercial and legal terms within a sale and purchase agreement.
  • Assess competition, regulatory, and approval requirements for M&A transactions.
  • Evaluate synergy assumptions and their likelihood of successful realisation.
  • Develop effective post-merger integration plans covering people, systems, and organisational culture.
  • Identify common causes of M&A failure and strategies for maximising transaction value.
