Course Overview

The course opens with fund structures and economics before moving into deal sourcing and valuation for early and growth-stage companies. Participants then negotiate term sheets from both investor and founder perspectives and examine portfolio governance and value creation. The course closes with exit strategies and the fund performance metrics used to report results to limited partners.

Introduction

The Private Equity and Venture Capital Training Course is a five-day programme that builds end-toend private capital skills for investors, fund managers and founders operating in African markets. Private equity and venture capital investment into Africa has grown substantially over the past decade, yet many investment professionals and founders still lack a shared, practical understanding of how deals are actually structured and negotiated. Participants leave able to value early and growth-stage companies, negotiate a term sheet, manage a portfolio company and plan a successful exit.

International limited partners are increasingly allocating capital to African-focused funds, while a growing pipeline of local founders and businesses are seeking institutional investment for the first time. Investors and founders who share a common, practical understanding of how deals are actually structured close transactions faster and with fewer disputes later.

Learning Objectives

By the end of this course, participants will be able to:

  • Explain the structure, operations, and economics of private equity and venture capital funds.
  • Evaluate deal sourcing, screening, and investment selection strategies for emerging market opportunities.
  • Apply appropriate valuation methodologies to early-stage, growth-stage, and private companies.
  • Structure and negotiate key commercial, financial, and governance terms within investment term sheets.
  • Assess governance arrangements, board representation rights, and investor protections in private investments.
  • Develop portfolio monitoring and value creation strategies for portfolio companies.
  • Evaluate exit strategies, including trade sales, initial public offerings (IPOs), and secondary buyouts.
  • Assess the opportunities and risks associated with investing in African startups and high-growth businesses.
  • Analyse private equity and venture capital fund performance using key metrics such as IRR, MOIC, and DPI.
